2.3 These Terms and Conditions apply to residential cleaning services provided to individual consumers. Nothing in these Terms is intended to exclude or limit any rights the Client may have under applicable federal or state consumer protection legislation, including the Texas Deceptive Trade Practices-Consumer Protection Act (DTPA), Tex. Bus. & Com. Code Chapter 17, where such rights cannot lawfully be excluded or limited.
2.4 The Company reserves the right to update or amend these Terms and Conditions from time to time in accordance with Section 17 below. The version of these Terms and Conditions in effect at the time of the Client’s booking shall govern that booking unless the Client is notified of amendments affecting a Recurring Booking.
3. SERVICES
3.1 The Company provides residential cleaning services to clients within its designated service area. The specific scope of Services to be delivered will be agreed upon and described in the booking Confirmation issued to the Client.
3.2 The Company does not provide the following unless expressly agreed in writing prior to the booking: deep cleaning of biohazardous materials, mold remediation, pest control, heavy construction clean-up, exterior cleaning, or any specialized industrial cleaning.
3.3 The Company may, at its sole discretion, engage vetted Subcontractors to perform the Services or any part thereof. Any Subcontractor used by the Company will have been vetted to the Company’s internal standards and will be required to perform the Services in accordance with these Terms and Conditions. The Company remains responsible to the Client for the performance of the Services regardless of whether a Subcontractor is used.
3.4 The Company shall use reasonable professional care and skill in the performance of the Services. The Cleaning Team will work diligently to meet the reasonable expectations established at the time of booking.
3.5 The Company reserves the right to modify the scope of Services during a visit if, upon arrival, the actual condition of the Property materially differs from the description provided by the Client at the time of booking. In such circumstances, the Company will endeavor to notify the Client and discuss any changes to the Service Charge prior to proceeding.
4. BOOKING AND CONFIRMATION
4.1 A booking request may be made via the Company’s website at cognitioncleaners.com, by email, or by telephone. A booking is not confirmed until the Client receives a written or electronic Confirmation from the Company.
4.2 The Client warrants that all information provided at the time of booking, including the address of the Property, its size, condition, and any special requirements, is accurate and complete. The Company shall not be liable for any failure to perform the Services adequately if the information provided by the Client was materially inaccurate or incomplete.
4.3 For Recurring Bookings, the terms of the initial Agreement, including the agreed Service Charge, scheduling frequency, and scope of Services, shall apply to each scheduled visit unless otherwise agreed in writing by both parties or amended in accordance with these Terms and Conditions.
4.4 The Company endeavors to honor all confirmed booking times. Occasionally, due to circumstances beyond the Company’s control, the Cleaning Team may arrive within a reasonable window before or after the scheduled time. The Company will make reasonable efforts to notify the Client of any significant delays.
5. PAYMENT TERMS
5.1 The Service Charge is due and payable on the day of service. Payment must be made in full on the date on which the Services are performed, unless a different arrangement has been agreed in writing in advance.
5.2 The Company accepts the following methods of payment:
(a) Bank transfer (ACH or wire transfer); and
(b) Card payment via the Company’s secure online payment platform.
5.3 Invoices or payment requests will be sent to the Client electronically. It is the Client’s responsibility to ensure that payment is made on time using one of the accepted methods set out in clause 5.2.
5.4 If payment is not received in full by the due date, the Company reserves the right to:
(a) Suspend further Services, including any future Recurring Bookings, until the outstanding balance is paid in full; and
(b) Pursue the outstanding amount through available legal or collection channels.
5.5 The Company reserves the right to charge a reasonable administrative fee for returned payments, declined transactions, or failed bank transfers.
5.6 The Company reserves the right to adjust its pricing from time to time. The Company will provide the Client with not less than thirty (30) days’ written notice before implementing any price changes that affect the Client’s existing Recurring Booking arrangement. Continued use of the Services following the effective date of a price change shall constitute the Client’s acceptance of the revised pricing.
5.7 Promotional rates, discounts, or introductory offers may be subject to separate terms and conditions and may not be combined with other offers unless expressly stated.
6. CANCELLATION AND RESCHEDULING POLICY
6.1 The Client may cancel or reschedule a confirmed booking by providing written notice to the Company at least twenty-four (24) hours before the scheduled start time of the appointment.
6.2 Notice of cancellation or rescheduling may be provided by email to hello@cognitioncleaners.com or by calling 936-681-7110. Cancellations or reschedule requests are only deemed received when acknowledged by the Company.
6.3 Where a Client cancels or reschedules a booking with less than twenty-four (24) hours’ notice before the scheduled appointment, a late cancellation fee equal to fifty percent (50%) of the Service Charge for that appointment will be charged to the Client. This fee reflects the costs already incurred by the Company in scheduling the Cleaning Team and reserving the time slot.
6.4 If the Cleaning Team arrives at the Property at the scheduled time and is unable to gain access to the Property for any reason attributable to the Client, including but not limited to the Client not being present, the Client failing to provide access instructions, security not permitting entry, or locks having been changed, the full Service Charge for that appointment will be charged.
6.5 For Recurring Bookings, the cancellation policy set out in clauses 6.1 through 6.3 applies individually to each scheduled appointment. Cancellation of an individual appointment within a Recurring Booking arrangement does not terminate the overall Recurring Booking unless notice to terminate the Recurring Booking arrangement is given by the Client in accordance with clause 6.1.
6.6 The Company reserves the right to cancel or reschedule a booking in circumstances including but not limited to: unsafe weather conditions, illness of the Cleaning Team, or a Force Majeure Event. In such circumstances, the Company will provide as much advance notice as reasonably practicable and will offer to reschedule the appointment at no additional charge to the Client. No cancellation fee will be charged where the cancellation originates from the Company.
6.7 The Company reserves the right to terminate or refuse to continue a Recurring Booking arrangement upon providing reasonable written notice to the Client if the Client has repeatedly breached these Terms and Conditions or the working relationship has become unsustainable.
7. RIGHT TO REFUSE SERVICE
7.1 The Company reserves the right, at its sole discretion, to decline to provide Services or to withdraw the Cleaning Team from a Property at any time, without liability to the Client, in any of the following circumstances:
(a) The Property poses a health or safety risk to the Cleaning Team, including but not limited to the presence of structural hazards, infestation, biohazardous material, extreme hoarding conditions, or dangerous animals;
(b) Any person at the Property engages in abusive, threatening, intimidating, or discriminatory behavior toward any member of the Cleaning Team;
(c) The Client has an outstanding unpaid balance on their account with the Company;
(d) The Property is in an unsafe or hazardous condition that prevents the safe performance of the Services.
7.2 Where Services are refused or withdrawn pursuant to clause 7.1(a) or 7.1(d), the Company will notify the Client of its concerns and may, at its discretion, offer to reschedule once the identified issues have been resolved.
7.3 Where Services are refused pursuant to clause 7.1(b), the Company reserves the right to permanently decline future bookings from the Client without further obligation.
7.4 Where the Cleaning Team is required to leave a Property part-way through a Service due to circumstances described in clause 7.1, the Company may charge a proportionate fee for the Services completed up to the point of withdrawal.
8. CLIENT RESPONSIBILITIES
8.1 To enable the Company to perform the Services safely and effectively, the Client agrees to:
(a) Ensure safe access to the Property at the scheduled appointment time, including providing any necessary keys, access codes, or instructions;
(b) Secure all pets away from the work areas prior to and during the appointment;
(c) Remove or safely store any fragile, valuable, sentimental, irreplaceable, or high-risk items from areas to be cleaned before the Cleaning Team arrives;
(d) Ensure that all utilities required for the performance of the Services, including water and electricity, are operational and accessible at the Property at the time of the appointment;
(e) Notify the Company in advance of any known hazards at the Property, including but not limited to mold, pest infestations, structural issues, allergies relevant to cleaning products, or any other special requirements.
8.2 The Client acknowledges that failure to fulfill the responsibilities set out in clause 8.1 may result in the Cleaning Team being unable to complete the Services, may limit the Company’s liability for any resulting issues, and may result in cancellation charges as set out in Section 6.
9. SERVICE STANDARDS AND COMPLAINTS
9.1 The Company will use reasonable professional skill and care in the performance of the Services. The Company does not, however, guarantee any specific outcome or result from the Services.
9.2 Each property and cleaning challenge is different. Results will vary depending on the condition of the Property, the materials involved, pre-existing damage, staining, or soiling, and other factors beyond the Company’s control. The Company makes no warranty or guarantee that any particular cleaning result will be achieved.
9.3 If the Client is dissatisfied with any aspect of the Services, the Client must notify the Company within twenty-four (24) hours of the completion of the appointment by contacting us at hello@cognitioncleaners.com or by calling 936-681-7110.
9.4 Complaints submitted after the twenty-four (24) hour window described in clause 9.3 may not be considered, as the Company is unable to assess the condition of the Property or verify the nature of the complaint after this period has elapsed.
9.5 Upon receipt of a timely complaint, the Company will:
(a) Acknowledge the complaint within one (1) Business Day;
(b) Investigate the matter promptly and in good faith;
(c) Where a valid service deficiency is identified, offer an appropriate remedy at the Company’s discretion, which may include a return visit to address the specific concern raised.
9.6 Any remedy offered under clause 9.5 does not constitute an admission of liability. The Client’s acceptance of a remedial visit does not waive any other rights the Client may have under applicable law.
10. LIABILITY
10.1 Nothing in these Terms and Conditions shall operate to exclude or limit liability that cannot lawfully be excluded or limited under applicable federal or state law, including liability for personal injury or death caused by negligence, fraud, or fraudulent misrepresentation, or any liability arising under the Texas Deceptive Trade Practices-Consumer Protection Act.
10.2 Subject to clause 10.1, the Company’s total aggregate liability to the Client in respect of any claim arising out of or in connection with the Services, whether in contract, tort (including negligence), or otherwise, shall be limited to the value of the Service Charge paid by the Client for the specific appointment or service to which the claim relates.
10.3 The Company shall not be liable for:
(a) Any loss, damage, or deterioration of items that the Client failed to remove from the work area prior to the appointment in accordance with clause 8.1(c);
(b) Any damage to items that were pre-existing prior to the commencement of the Services, including any pre-existing scratches, chips, cracks, stains, or structural weaknesses;
(c) Any damage arising from faulty, fragile, loose, improperly mounted, or inadequately secured fixtures, fittings, or items at the Property;
(d) Any loss of income, loss of profits, loss of business, or any indirect, consequential, or special damages of any kind;
(e) Any failure or delay in performing the Services caused by a Force Majeure Event.
10.4 The Company will not be liable for any damage to the Property or its contents that is attributable to the Client’s failure to disclose known hazards, special conditions, or relevant information prior to the appointment in accordance with clause 8.1(e).
10.5 Where the Client alleges that the Cleaning Team has caused damage to the Property or any items within it, the Client must report this to the Company within the twenty-four (24) hour window specified in clause 9.3. The Company may require the Client to provide photographic evidence of the alleged damage and will conduct its own investigation before accepting any liability.
10.6 The Company maintains appropriate general liability insurance. Nothing in these Terms prevents the Client from making a good-faith claim against the Company’s insurance for damage that falls within the scope of coverage, subject to the terms of the Company’s policy.
11. FORCE MAJEURE
11.1 Neither party shall be in breach of this Agreement or otherwise liable for any failure or delay in the performance of its obligations where such failure or delay arises from a Force Majeure Event.
11.2 The party affected by a Force Majeure Event shall notify the other party as soon as reasonably practicable after the commencement of the Force Majeure Event, describing the event and its anticipated duration.
11.3 If a Force Majeure Event prevents the Company from performing the Services, the Company will endeavor to reschedule the appointment at the earliest practicable opportunity. If the Company is unable to reschedule within a reasonable period, the Client shall be entitled to a full refund of any prepaid Service Charge for the affected appointment.
11.4 For the avoidance of doubt, a Force Majeure Event does not entitle either party to avoid payment obligations that arose before the Force Majeure Event occurred.
12. PHOTOGRAPHY AND SOCIAL MEDIA
12.1 The Cleaning Team will not photograph, film, or record the interior of the Property, or any part thereof, without the prior express written consent of the Client.
12.2 Where the Client provides written consent for the Company to photograph or film the Property, whether before, during, or after the performance of the Services, the Company may use such images or footage for business purposes, including marketing, social media, and its website, provided that no personally identifiable information relating to the Client is disclosed without the Client’s further specific consent.
12.3 The Client may withdraw consent for the use of previously provided images or footage at any time by contacting us at hello@cognitioncleaners.com. Withdrawal of consent will not apply retrospectively to content already published prior to receipt of the withdrawal notice, unless removal is required under applicable law.
12.4 The Company does not accept any responsibility for photographs, reviews, or other content posted about the Company or its staff by the Client or third parties on public platforms. The Client agrees not to publish any photographs depicting members of the Cleaning Team without their express consent.
13. DATA PROTECTION AND PRIVACY
13.1 The Company collects and processes personal data about the Client in order to administer bookings, deliver Services, process payments, and communicate with the Client about their account.
13.2 The Company is committed to handling personal data responsibly and in compliance with applicable federal and state privacy laws, including where applicable the Texas Data Privacy and Security Act.
13.3 For full details of how the Company collects, uses, stores, and protects personal data, and the rights available to the Client, please refer to the Company’s Privacy Policy, which is available on the Company’s website at cognitioncleaners.com.
13.4 By providing personal information to the Company, the Client acknowledges that the Company will process such data in accordance with its Privacy Policy.
14. COMPLAINTS AND DISPUTE RESOLUTION
14.1 In the event of any dispute arising out of or in connection with these Terms and Conditions or the Services, the parties agree to attempt first to resolve the matter directly and in good faith by contacting the Company at hello@cognitioncleaners.com or by writing to Cognition Cleaners LLC, 17350 State Hwy 249, Suite 220, Houston, TX 77064.
14.2 The Company will respond to any written complaint or dispute notification within five (5) Business Days of receipt and will make reasonable efforts to resolve the matter to the Client’s satisfaction within a reasonable timeframe.
14.3 If the parties are unable to resolve the dispute directly within thirty (30) days of the complaint or dispute notification being submitted, the parties agree to refer the matter to a neutral third-party mediator before initiating any formal legal proceedings. The parties shall bear their own costs of mediation unless otherwise agreed.
14.4 The right to pursue mediation under clause 14.3 does not affect or limit any rights the Client may have to seek relief through applicable consumer protection agencies, including the Texas Attorney General’s Consumer Protection Division, or through any other lawful avenue available under applicable law.
14.5 Nothing in this Section prevents either party from seeking emergency injunctive or equitable relief from a court of competent jurisdiction where necessary to protect their rights pending resolution of a dispute.
15. GOVERNING LAW AND JURISDICTION
15.1 These Terms and Conditions and any Agreement formed between the Company and the Client shall be governed by and construed in accordance with the laws of the State of Texas and applicable federal law of the United States of America, without regard to its conflict of law principles.
15.2 Subject to the dispute resolution process set out in Section 14, any legal proceedings arising out of or in connection with these Terms and Conditions or the Services shall be brought in the state or federal courts located in Harris County, Texas, and each party irrevocably submits to the personal jurisdiction of such courts for that purpose.
15.3 If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be severed from the Agreement to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
16. INDEMNIFICATION
16.1 The Client agrees to indemnify, defend, and hold harmless the Company, its members, officers, employees, Subcontractors, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
(a) The Client’s breach of these Terms and Conditions;
(b) The Client’s failure to fulfill the responsibilities set out in Section 8;
(c) Any inaccurate or misleading information provided by the Client at the time of booking or otherwise;
(d) Any third-party claims arising from the Client’s use of the Services.
17. CHANGES TO THESE TERMS AND CONDITIONS
17.1 The Company reserves the right to update, amend, or revise these Terms and Conditions at any time. Where changes are material, the Company will provide notice to existing Clients with Recurring Bookings by email to the address registered on the Client’s account, no less than thirty (30) days before the changes take effect.
17.2 For new bookings, the version of the Terms and Conditions in effect at the time of booking will apply.
17.3 The Client’s continued use of the Services after the effective date of any changes to these Terms and Conditions shall constitute the Client’s acceptance of the revised Terms and Conditions.
17.4 The most current version of these Terms and Conditions will at all times be available on the Company’s website at cognitioncleaners.com.
18. ENTIRE AGREEMENT
18.1 These Terms and Conditions, together with the booking Confirmation and the Company’s Privacy Policy, constitute the entire agreement between the Company and the Client with respect to the Services and supersede all prior representations, agreements, negotiations, or understandings, whether oral or written, relating to the same subject matter.
18.2 No variation or modification of these Terms and Conditions shall be effective unless agreed in writing by an authorized representative of the Company.
18.3 No failure or delay by the Company in exercising any right or remedy under these Terms and Conditions shall operate as a waiver of that right or remedy, nor shall any single or partial exercise of any right or remedy preclude any further exercise of that or any other right or remedy.
19. WAIVER AND SEVERABILITY
19.1 No waiver by the Company of any breach of these Terms and Conditions shall be considered a waiver of any subsequent breach of the same or any other provision.
19.2 If any provision or part-provision of these Terms and Conditions is held by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision or part-provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable.
